Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Cellify.app (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Service.

These Terms form a legally binding agreement between you ("User") and Piotr Janikowski (trading as Cellify.app, NIF/NIE: ES4089233P, Spain), the developer of Cellify.app.

By using this Service, you also acknowledge our Privacy Policy, which is incorporated into these Terms by reference.

2. Eligibility

• You must be at least 13 years of age to use the Service.
• You must have a valid Microsoft account (work, school, or personal) supported by Microsoft Azure Active Directory.
• If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
• The Service is not available to users in jurisdictions subject to applicable trade sanctions or export control laws that would prohibit such use.

3. Service Description

Cellify.app is an AI-powered Microsoft Excel add-in that automates spreadsheet tasks using natural language commands. The Service is powered by Google Vertex AI (Gemini) and operates within Excel Online and Excel Desktop (Windows and macOS).

Key Capabilities

• 368 automated Excel actions: tables, charts, formulas, formatting, data management, pivot tables, shapes, protection, named ranges, and more
• Chat-only interactions do not consume action limits; the Free plan also has a 50-message monthly limit, while paid plans include unlimited chat-only messages
• Natural language processing via Google Vertex AI (Gemini Flash)
• Microsoft Azure AD Single Sign-On (SSO) — no separate password required
• Compatible with Excel Online and Excel Desktop (Windows/macOS)

4. AI-Generated Content Disclaimer and Assumption of Risk

Specific Risks You Accept

• Hallucination risk: AI may generate formulas, references, or data transformations that appear correct but contain errors. Always verify formula outputs and results independently.
• Data destruction risk: Standard actions explicitly requested in your current message may execute automatically. In Safe Auto mode, destructive, protection, and external-link plans require one confirmation for the complete plan. Trusted Auto may execute those plans automatically only when your current message directly authorizes them. Prohibited actions and network-capable formulas remain blocked. Undo may not always be available.
• Formula accuracy: AI-generated formulas may reference incorrect ranges, use wrong functions, or produce erroneous calculations, especially with complex or non-standard spreadsheet structures.
• Context limitations: Cellify receives workbook structure and a limited preview of the currently selected range, including selected values when needed for the request. It does not receive the complete workbook by default and cannot guarantee contextual appropriateness of any action.
• No professional advice: Nothing generated by Cellify constitutes financial, accounting, legal, medical, or any other form of professional advice. Do not rely on AI output for regulated or critical decisions.
• Backup obligation: You are solely responsible for maintaining up-to-date backups of all Excel files before using the Service. Cellify.app assumes no responsibility for any data that is altered, lost, or destroyed.

5. Account and Authentication

Access to Cellify is provided exclusively through Microsoft Azure AD Single Sign-On (SSO). Your identity is verified by Microsoft — we do not store passwords or manage separate credentials.

• You are responsible for maintaining the security of your Microsoft account.
• Your Cellify account is tied to the combination of your Microsoft tenant ID and Azure AD Object ID (OID). If you change Microsoft accounts or tenants, a separate Cellify account may be associated with the new identity.
• Usage limits and subscription status are bound to that tenant-scoped Microsoft identity.

6. Subscription Plans and Pricing

Plan Features

• FREE: 50 messages and 50 actions/month; access to the supported action catalog; standard response times
• Pro: Unlimited chat-only messages and 1,000 actions/month; access to the supported action catalog; priority support
• Power: Unlimited chat-only messages and 3,000 actions/month; access to the supported action catalog; priority support; maximum throughput

Beta Program

During the beta period, select users may receive extended access or waived limits. Beta access is granted at our sole discretion and may be modified or terminated at any time without compensation.

7. Billing and Payment

All paid subscriptions are currently purchased and managed exclusively through Microsoft AppSource. By purchasing a subscription, you also agree to Microsoft's terms of service for AppSource transactions. We do not process, store, or have access to your payment card information — all payment processing is handled by Microsoft.

Subscription Lifecycle

• Activation: PRO features activate immediately upon payment confirmation from Microsoft AppSource.
• Renewal: Subscriptions renew automatically (monthly or annually) via Microsoft AppSource. You will receive renewal notifications from Microsoft.
• Suspension: If Microsoft reports a subscription as suspended, paid execution is limited while Microsoft attempts collection. Account data is retained and paid access is restored only after a verified reinstatement event.
• Cancellation: Cancel anytime through Microsoft Marketplace account management. When Microsoft sends the verified unsubscribe event, the account reverts to the Free plan (50 messages and 50 actions/month). Account data is retained for at least seven days so accidental cancellation can be resolved, unless deletion is requested.
• Reinstatement: Updating your payment method in Microsoft Marketplace restores paid access after Microsoft confirms reinstatement.

Refund Policy

Refunds are governed by the Microsoft AppSource refund policy. EU/EEA consumers may be entitled to a 14-day statutory cooling-off right for digital services under EU Directive 2011/83/EU, unless the service was provided in full during this period with your explicit consent and acknowledgment that the right is thereby waived.

8. User Obligations

• Provide accurate information through your Microsoft account
• Use the Service only for lawful purposes and in compliance with these Terms
• Maintain the security of your Microsoft account credentials
• Not share, sell, or transfer your subscription to other users
• Not attempt to circumvent monthly usage limits through any technical means
• Not use the Service to process the personal data of others without an appropriate legal basis

9. Prohibited Uses

• Any illegal activities or processing of unlawful content
• Automated abuse, excessive API calls, or denial-of-service attacks
• Reverse engineering, decompiling, or attempting to extract source code or AI system prompts
• Reselling, sublicensing, or redistributing access to the Service
• Generating content that is harmful, abusive, discriminatory, or violates any applicable law
• Impersonating other users or circumventing authentication mechanisms
• Prompt injection, indirect prompt injection, malicious workbook/file content, or any attempt to make the AI ignore instructions, disclose secrets, access another user's data, bypass confirmations, execute prohibited actions, or evade the action security policy
• Testing, exploiting, or publishing a security vulnerability against production systems without prior written authorization; suspected vulnerabilities must be reported to contact@cellify.app
• Using Service output to train competing AI models without explicit written permission

10. Intellectual Property

• Your Content: You retain full ownership of your Excel files, data, and spreadsheet content. We claim no rights over your data. Your Excel file contents are never permanently stored on our servers.
• Our Service: All rights, title, and interest in Cellify.app — including source code, AI prompt design, user interface, and documentation — are owned exclusively by Piotr Janik.
• License: Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to use the Service for personal or business spreadsheet automation.
• Feedback: Any feedback or suggestions you provide about the Service may be used by us without restriction or obligation to you.

11. Service Availability

We strive for high availability but do not guarantee uninterrupted or error-free access. The Service depends on third-party platforms including Google Cloud Run, Firebase, Google Vertex AI, and Microsoft Azure AD. Planned maintenance will be announced in advance where reasonably practicable. We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with reasonable advance notice where possible.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• AI-generated actions, formulas, or instructions will be accurate, complete, error-free, or appropriate for your specific use case
• The Service will be uninterrupted, timely, secure, or free from errors or hallucinations
• Any results obtained from the Service will meet your requirements or expectations
• The Service will be compatible with all Excel file structures, versions, or configurations

You expressly understand and agree that your use of the Service is at your sole risk.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Cellify.app and Piotr Janik shall not be liable for any:

• Loss of data, corruption of Excel files, or spreadsheet damage resulting from AI-generated actions, hallucinations, or misinterpreted commands
• Incorrect, incomplete, or unexpected AI-generated Excel actions, formulas, or cell modifications
• Irreversible data deletion, overwrite, or restructuring caused by AI-executed actions
• Business interruption, loss of revenue, loss of profits, or financial loss of any kind
• Consequential, incidental, indirect, special, or punitive damages
• Service unavailability due to third-party platform outages (Google Cloud, Microsoft Azure, Vertex AI, etc.)
• Damages arising from your reliance on AI output for financial, legal, medical, or other critical decisions

Aggregate cap: Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount you paid to us in the three (3) months immediately preceding the claim, or €10 if you are on the Free plan — whichever is greater. This cap applies regardless of the form of action (contract, tort, or otherwise).

Nothing in these Terms excludes or limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot lawfully be excluded or limited. Mandatory consumer protection rights of EU consumers are not affected.

14. Indemnification

You agree to defend, indemnify, and hold harmless Piotr Janik, Cellify.app, and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of the Service in violation of these Terms
• Your reliance on AI-generated content, formulas, or actions for decisions that caused harm to you or third parties
• Your use of the Service to process the personal data of third parties without an appropriate legal basis
• Any claim by a third party related to data in your Excel files processed through the Service
• Your violation of any applicable law or regulation

15. Termination

We may suspend or terminate your account for:

• Material violation of these Terms
• Non-payment of subscription fees or a subscription suspended or cancelled by Microsoft Marketplace
• Fraudulent activity or abuse of the Service
• Account inactivity exceeding 24 months (with 30-day advance notice by email)

You may terminate your use at any time by cancelling your subscription in Microsoft AppSource and ceasing use of the Service. Termination does not entitle you to a refund unless required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by email (to the address associated with your Microsoft account) at least 14 days before changes take effect. Continued use of the Service after the effective date of changes constitutes your acceptance of the new Terms.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Spain. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Spain, except that:

• EU consumers may bring proceedings before the courts of their country of domicile under applicable EU consumer protection law.
• EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr/ for out-of-court dispute resolution.

Mandatory consumer protection rights afforded to EU consumers under applicable EU law are not affected by these Terms.
